The Parties agree to the following amendments to the Agreement solely for the purposes of the Local Country Agreement applicable to the Indian subsidiary of the U.S.-based parent company:
- Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in [City], India.
- Compliance with Indian Labor Laws The Employer shall ensure full compliance with applicable Indian labor and employment legislation, including but not limited to the Industrial Disputes Act, 1947, the Payment of Wages Act, 1936, the Minimum Wages Act, 1948, and the applicable State Shops and Establishments Act.
- Taxation and Statutory Deductions All compensation and benefits provided under this Agreement shall be subject to applicable Indian tax laws. The Employer shall deduct and remit statutory contributions including income tax, provident fund, professional tax, and any other applicable levies as required under Indian law.
- Data Protection and Confidentiality Both Parties shall comply with the provisions of the Information Technology Act, 2000 and any applicable data protection regulations in India. The Employee shall adhere to the Employer’s global and local data privacy policies.
- Foreign Exchange and Cross-Border Transactions Any payments made by or to the Indian subsidiary in foreign currency shall comply with the Foreign Exchange Management Act, 1999 (FEMA) and relevant Reserve Bank of India (RBI) guidelines.
- Workplace Conduct and Policies The Employee shall follow the Employer’s policies applicable in India, including but not limited to anti-harassment, code of conduct, disciplinary procedures, and health and safety standards.
- Termination and Severance Termination of employment shall be carried out in accordance with Indian labor laws and the Employer’s local policies. Any severance, notice period, or final settlement shall be processed as per statutory requirements or company policy, whichever is more favorable to the Employee.
- Interpretation and Precedence In the event of any conflict between the terms of this Local Country Agreement and the global employment agreement governed by U.S. law, the provisions of this Local Country Agreement shall prevail for matters governed by Indian law.
